Terms & Conditions

These Terms & Conditions (the “Terms”) form a binding legal agreement between you (“you,” “your,” or “User”) and Three Little Birds (“Three Little Birds,” “we,” “us,” or “our”) governing your access to and use of our websites, applications, content, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance & Eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Service. If you use the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms, and “you” includes that entity.
2. Description of the Service
The Service provides software tools, templates, automated calculations, and artificial-intelligence-assisted content generation to help users plan, launch, and operate small businesses. This may include business plans, financial models and projections, budgets, roadmaps, benchmarking, marketing materials, and documents intended to support loan or grant applications (including SBA-formatted materials). The Service is a self-help tool only.
3. No Legal, Financial, Tax, or Professional Advice
The Service and all content it generates are provided for general informational and educational purposes only and do not constitute, and must not be relied upon as, legal, financial, tax, accounting, investment, lending, regulatory, or other professional advice.
Three Little Birds is not a law firm, accounting firm, financial advisor, broker-dealer, investment adviser, lender, loan broker, or tax-preparation service, and it is not a substitute for the advice of a licensed professional. Using the Service does not create an attorney-client, fiduciary, advisory, accountant-client, or any other professional or confidential relationship between you and Three Little Birds.
Laws, regulations, tax rules, lending requirements, and licensing obligations vary by federal, state, county, and municipal jurisdiction and change over time. You are solely responsible for determining whether any output is appropriate, accurate, complete, and compliant for your specific situation and jurisdiction, and for obtaining independent professional advice from someone licensed in your state before relying on it. Any decisions you make based on the Service are made at your own risk.
4. AI-Generated & Automated Content
Portions of the Service use artificial intelligence and automated calculations to generate text, projections, and recommendations. AI-generated content may be inaccurate, incomplete, outdated, or unsuitable for your needs, and financial projections are inherently uncertain and not guarantees of future results. You must independently review, verify, and validate all generated content before using or relying on it. Three Little Birds does not warrant the accuracy, reliability, or fitness of any AI-generated or automated output.
5. Business Plans, Projections & Lending / Grant Documents
Documents formatted for lenders, the U.S. Small Business Administration (SBA), investors, or grant programs are drafting aids only. Three Little Birds does not guarantee that any plan, projection, or document will result in financing, loan or grant approval, investment, or any particular outcome, and is not affiliated with, endorsed by, or acting on behalf of the SBA or any government agency, lender, or investor. You are responsible for the truthfulness and accuracy of every statement you submit to any lender, agency, or third party. Submitting false or misleading information to a lender or government program may carry serious legal consequences for which you, and not Three Little Birds, are solely responsible.
6. Your Responsibilities
You are responsible for the accuracy and legality of all information you enter, for maintaining the confidentiality of your account credentials, and for all activity under your account. You agree to use the Service only for lawful purposes and not to violate any applicable federal, state, or local law, infringe any third-party right, or misuse the Service.
7. Subscriptions, Billing & Refunds
Paid plans are billed through our third-party payment processor on a recurring basis until cancelled. By subscribing, you authorize recurring charges to your payment method. Fees are non-refundable except where required by applicable law or expressly stated. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period.
8. Intellectual Property & Your Content
The Service, including its software, design, and templates, is owned by Three Little Birdsand protected by intellectual-property laws. You retain ownership of the business information and content you submit (“User Content”) and grant Three Little Birdsa limited, non-exclusive license to host, process, and display it solely to operate and improve the Service. You represent that you have the rights necessary to submit your User Content.
9. Third-Party Services
The Service may integrate with or link to third-party services (for example, payment processing, email delivery, accounting integrations, and government websites). Three Little Birds does not control and is not responsible for third-party services, and your use of them is governed by their own terms.
10. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
To the fullest extent permitted by law, Three Little Birds disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and does not warrant that the Service will be uninterrupted, secure, error-free, or that any output will be accurate, complete, current, or compliant with the laws of any jurisdiction. Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you; in that case such warranties are limited to the minimum scope and duration permitted by your jurisdiction's law.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THREE LITTLE BIRDS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, FUNDING, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Without limiting the above, Three Little Birds is not liable for any decision you make, or any legal, financial, tax, regulatory, or business consequence you experience, based on content generated by or obtained through the Service. Three Little Birds's total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid to Three Little Birds in the twelve (12) months preceding the event giving rise to the claim or one hundred U.S. dollars (US $100).
Because some states and jurisdictions do not allow the exclusion or limitation of liability for incidental, consequential, or certain other damages, some of the above limitations may not apply to you. In those jurisdictions, Three Little Birds's liability is limited to the smallest amount permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Three Little Birds and its owners, officers, directors, employees, contractors, and agents from and against any and all claims, demands, actions, investigations, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
- your access to or use of the Service or any content it generates;
- your reliance on, distribution of, or submission of any plan, projection, financial model, application, or document created with the Service to any lender, investor, government agency, or other third party;
- any legal, financial, tax, accounting, investment, or regulatory decision you make in connection with the Service;
- the accuracy, completeness, or legality of any information you provide;
- your violation of these Terms or of any applicable law or third-party right.
Three Little Birds reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. This indemnification obligation survives termination of these Terms and your use of the Service.
13. Dispute Resolution & Binding Arbitration
Please read this section carefully — it affects how disputes are resolved. Except for disputes that qualify for small-claims court and except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by a recognized arbitration provider under its rules, rather than in court.
Class-action waiver. To the extent permitted by law, you and Three Little Birds agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
If applicable law does not permit arbitration or the class-action waiver for a particular claim, that claim (and only that claim) may proceed in a court of competent jurisdiction, and the remainder of this section remains in effect. You may opt out of arbitration by sending written notice to legal@threelilbrds.com within 30 days of first accepting these Terms.
14. Governing Law & Nationwide Applicability
These Terms are governed by the laws of the State in which Three Little Birds is organized, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions.
Nothing in these Terms is intended to limit any rights you may have that, under the mandatory consumer-protection laws of your state of residence or local jurisdiction, cannot lawfully be waived or limited. Where any provision of these Terms conflicts with a non-waivable mandatory law of the state, county, or municipality in which you reside, that mandatory local law controls, but only to the minimum extent necessary to resolve the conflict, and all remaining provisions of these Terms stay in full force.
15. State-Specific Disclosures
California residents: Under California Civil Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing or by telephone.
Residents of all other states and counties retain whatever non-waivable rights and remedies their local laws provide; these Terms apply uniformly nationwide except as adjusted by Section 14 to honor those local protections.
16. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for any violation of these Terms. Upon termination, your right to use the Service ends, but Sections concerning disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Effective date” above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
18. Severability & Entire Agreement
If any provision of these Terms is held invalid or unenforceable in any jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be, severed, and the remaining provisions will continue in full force and effect in that and every other jurisdiction. These Terms, together with any policies referenced here, constitute the entire agreement between you and Three Little Birds regarding the Service. Our failure to enforce any right or provision is not a waiver of it.
